CyberCascadia LLC

PAYMENT TERMS OF SERVICE

Effective Date: 01/01/2026 — Applies to All Invoices Issued by CyberCascadia LLC

1. Payment Due Date

All invoices are due within 30 days of the invoice date unless a different payment schedule is specified in the applicable Statement of Work (SOW) or Master Services Agreement (MSA). The due date is printed on each invoice.

2. Accepted Payment Methods

CyberCascadia LLC accepts the following forms of payment:

  • ACH / Bank Transfer (preferred)
  • Check payable to CyberCascadia LLC
  • Credit or Debit Card (processing fee may apply)
  • Wire Transfer (banking details provided upon request)

Payment instructions are included on each invoice. Do not send cash.

3. Late Payments

Invoices not paid by the due date are subject to a late fee of 1.5% per month (18% annually) applied to the outstanding balance, beginning on the first day past due. CyberCascadia LLC reserves the right to:

  • Suspend access to the client portal and deliverables until the account is current.
  • Pause active advisory engagements until payment is received.
  • Refer overdue balances to a collections agency or pursue legal remedies.

CyberCascadia LLC will provide written notice before suspending services.

4. Retainer and Recurring Advisory Fees

Monthly advisory retainer fees are invoiced on the 1st of each month for services rendered during that month (or in advance, as specified in the SOW). Retainer invoices are due within 15 calendar days of issuance unless otherwise agreed in writing.

Failure to pay a retainer invoice within 30 days of the due date may result in immediate suspension of advisory services and termination of the engagement at CyberCascadia LLC’s discretion.

5. Disputed Invoices

If a client believes an invoice contains an error, the client must notify CyberCascadia LLC in writing at [email protected] within 10 business days of the invoice date. The written dispute must include:

  • The invoice number in question.
  • The specific line items being disputed.
  • The basis for the dispute.

Undisputed portions of an invoice remain due by the original payment date. CyberCascadia LLC will respond to all billing disputes within 10 business days.

6. Expenses and Pass-Through Costs

Pre-approved out-of-pocket expenses (travel, third-party tool licenses, filing fees, etc.) will be invoiced separately or itemized on the applicable monthly invoice with supporting documentation. Expenses are due under the same payment terms as advisory fees.

CyberCascadia LLC will not incur expenses exceeding $250 per engagement without prior written client approval.

7. Taxes

All fees are exclusive of applicable sales, use, or excise taxes. Where required by law, CyberCascadia LLC will add applicable taxes to the invoice. The client is responsible for all taxes arising from or related to the services, other than taxes based on CyberCascadia LLC’s net income.

8. Refunds and Credits

CyberCascadia LLC does not issue refunds for completed advisory services or deliverables already provided. If an engagement is terminated by CyberCascadia LLC prior to completion for reasons not attributable to the client, a pro-rated refund of any prepaid retainer amounts will be issued within 30 days.

If an engagement is terminated by the client prior to completion, any fees already paid for work completed are non-refundable. Prepaid fees for work not yet started may be credited toward a future engagement at CyberCascadia LLC’s discretion.

9. Collections and Legal Fees

In the event CyberCascadia LLC must pursue collection of unpaid amounts, the client agrees to reimburse CyberCascadia LLC for all reasonable costs of collection, including attorney’s fees, court costs, and collection agency fees. This provision is governed by and construed in accordance with the laws of the State of Washington.

10. Changes to These Terms

CyberCascadia LLC may update these Payment Terms of Service at any time. Updated terms will be provided with the next invoice issued after any change and will apply to all subsequent invoices. Continued acceptance of invoiced services constitutes acceptance of updated terms.
